# Terms of Use

Datafalk Inc. · Last updated: 28 October 2026 · Effective date: 12 November 2026

## 1. Who we are and what these Terms cover

1.1 These Terms of Use (the "Terms") are issued by Datafalk Inc., a corporation organised under the laws of the State of Delaware, United States of America, registered with the Delaware Division of Corporations under file number 10705991, with its address at 1272 S Governors Ave, Ste C, POB 1017, Dover, DE 19904, United States of America ("Datafalk", "we", "us"). They govern access to and use of the websites datafalk.com, app.datafalk.com, atlas.datafalk.com and demo.datafalk.com, the Datafalk application programming interfaces ("APIs"), dashboards, alerts, briefs, maps, reports, documentation and any other product or service we make available (together, the "Services").

1.2 You enter into these Terms when you create an account, including a free account, activate API credentials, or click to accept them. Datafalk keeps a record of the version accepted and of the date of acceptance, and makes the accepted text available for download. If you access or use the Services without an account, you must comply with these Terms as a condition of that access.

1.3 The following documents govern the commercial relationship and prevail over these Terms for the Services they cover: (a) special conditions, a subscription agreement or an order form negotiated and signed between your organisation and Datafalk Inc. or, for enterprise customers established in Europe, Parallax 84 SAS, Datafalk's distributor (a "Commercial Agreement"); (b) for self-service accounts and purchases, the order summary you accepted, for the commercial characteristics of the offer; (c) the Datafalk Terms of Sale, of which the Refund Policy forms part (the "Terms of Sale"). The Terms of Sale govern the whole self-service relationship, including accounts opened on the platform without a paid order (registration, orders, payment, credits, subscriptions, performance, access to deliverables, licence, confidentiality, warranties, liability, term and disputes); these Terms apply to the self-service relationship only for matters the Terms of Sale do not address. A customer bound by a Commercial Agreement remains governed by it, and these Terms apply to that customer only for matters the Commercial Agreement does not address.

1.4 The Privacy Policy and the Cookie Policy inform individuals about the processing of personal data; they are not contractual documents, and accepting these Terms is not consent to any processing described in them. The Public Data Collection Principles, the Copyright and DMCA Policy and the Vulnerability Disclosure Policy describe procedures operated by Datafalk and may be updated by Datafalk. Where a Data Processing Agreement (a "DPA") binds Datafalk and your organisation, it prevails for its subject matter.

## 2. Business use only, eligibility and authority

2.1 The Services are designed for and offered exclusively to businesses, public bodies and professionals acting in the course of their trade, business or profession. They are not offered to consumers and may not be used for personal, family or household purposes.

2.2 You represent that you are at least 18 years old and have the legal capacity to enter into these Terms. Where you use the Services on behalf of an organisation, that organisation is the contracting party, you represent that you are authorised to bind it, and "you" refers to that organisation and to each individual who uses the Services under its account (an "Authorised User").

2.3 You are responsible for every Authorised User's compliance with these Terms.

## 3. Accounts and security

3.1 Some Services require an account. You must provide accurate and current information and keep it updated. Credentials are personal to each Authorised User and may not be shared.

3.2 You are responsible for all activity under your account and credentials until you notify us at security@datafalk.com that they have been compromised. Datafalk may restrict an account that it reasonably believes to be compromised.

3.3 Where an organisation administers accounts for its Authorised Users, that organisation may access, control and terminate those accounts, and Datafalk may act on its administrator's instructions.

## 4. Licence to use the Services and Datafalk Data

4.1 "Datafalk Data" means all data, supplier network maps, relationships, scores, alerts, briefs, Atlas company pages, visualisations, documentation and other content made available through the Services, other than Customer Content.

4.2 Subject to these Terms and to the applicable Terms of Sale or Commercial Agreement, Datafalk grants you a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence, for the term of your access, to access the Services and to use Datafalk Data for your internal business purposes, within the usage limits of your plan.

4.3 You may download reports, maps and extracts generated by the Services and circulate them within your organisation, to your advisers and service providers bound by confidentiality to the extent necessary for your internal business purposes, and to the companies of your group where your plan so provides, provided that Datafalk's source references, dates, warnings and proprietary notices are retained. You are responsible for compliance with this licence by every person to whom you give access. The licence attached to exports obtained under a paid plan survives the closure of your account to the extent provided in the Terms of Sale or the Commercial Agreement.

4.4 You may cite Datafalk as a source in external communications only with Datafalk's prior written consent, except that (a) Atlas pages marked as public may be linked to and quoted with attribution to Datafalk, and (b) you may disclose Datafalk Data to the extent required by law or by a regulator, court or public authority, informing Datafalk where lawful. Attribution must not suggest that Datafalk endorses your conclusions.

## 5. Restrictions

5.1 Except as expressly permitted in writing by Datafalk, by the applicable Terms of Sale or Commercial Agreement, or by the documented authorisation attached to your API credentials, you shall not: (a) copy, scrape, crawl, harvest, extract or download Datafalk Data in bulk or systematically, whether manually or through automated means, other than through the APIs within your authorisation; (b) sell, resell, sublicense, distribute, publish, disclose or otherwise make the Services or Datafalk Data available to any third party other than the persons permitted under Section 4.3; (c) extract or reuse a substantial part of the Datafalk database, or build, train, enrich or evaluate any database, model, index, product or service that competes with or substitutes for the Services using Datafalk Data, including by using Datafalk Data to train, fine-tune or evaluate machine learning or artificial intelligence models; (d) reverse engineer, decompile, disassemble or attempt to derive the source code, algorithms, methods or underlying structure of the Services, except to the extent such a restriction is prohibited by applicable law; (e) use the Services or Datafalk Data to determine a natural person's eligibility for credit, insurance, employment, housing or any similar benefit, or for any other purpose that would make the Services a consumer report under the United States Fair Credit Reporting Act or comparable laws, or to create market indices, investment products, credit scores, insurance underwriting models or any regulated financial product without a separate written agreement; (f) remove, obscure or alter any source reference, warning, proprietary notice, watermark or attribution; (g) interfere with, probe, overload or circumvent any security or access control of the Services, other than in compliance with the Vulnerability Disclosure Policy; (h) use the Services to monitor, profile or surveil any natural person, to make decisions that produce legal or similarly significant effects on a natural person without human intervention and independent verification, or for any purpose that is unlawful, defamatory, discriminatory or deceptive; (i) upload or transmit malicious code, or content that infringes third-party rights or applicable law; (j) use the Services in any manner that violates export control or sanctions laws (Section 16); (k) use Datafalk Data to provide services to your own clients, except to the extent expressly permitted by the Terms of Sale for consulting firms, by a specific offer or by a written agreement.

5.2 Datafalk may monitor use of the Services to the extent reasonably necessary to secure the Services, operate them, enforce usage limits and verify compliance with these Terms, in accordance with the Privacy Policy.

## 6. Nature of Datafalk Data, corrections and removal

6.1 Datafalk Data consists of open-source intelligence products established by automated processing, with the assistance of artificial intelligence systems, from publicly available sources, customs and trade records, corporate registries, press, licensed datasets and other third-party sources, without systematic human validation. Datafalk identifies organisations and infers relationships between them using entity resolution, graph algorithms and statistical methods. Each relationship carries its source and a confidence level defined in the warning attached to the Services. Datafalk Data is dated and non-exhaustive, and may contain errors, omissions or information that has become outdated; an identified source supports only what it states, and an inference is not a confirmation that a relationship exists.

6.2 Datafalk Data provides research information. It does not constitute advice, an audit, a certification or a guarantee of regulatory compliance, and does not replace your own due diligence. You determine whether the Services suit your needs and you verify material information before making sourcing, contracting, compliance, financial or reputational decisions. Datafalk is not responsible for decisions you make on the basis of Datafalk Data, without prejudice to any breach attributable to Datafalk under the applicable contract.

6.3 Parts of the Services, including Atlas company pages and briefs, are produced with the assistance of artificial intelligence and published under Datafalk's editorial responsibility. Such content is identified as AI-assisted where the law requires it. Human review is carried out only where the relevant output states so.

6.4 Any person or organisation who believes that Datafalk Data about them is inaccurate, or who objects to its publication, may request a correction or removal under the Public Data Collection Principles. Datafalk reviews such requests in good faith and without admission of liability.

## 7. Customer Content and reuse of results

7.1 "Customer Content" means supplier lists, bills of materials, files, notes, parameters, queries and any other material that you or your Authorised Users upload to or enter into the Services. It does not include pre-existing Datafalk Data or deliverables generated by the Services in answer to your requests, which are Datafalk Data.

7.2 As between you and Datafalk, you retain all rights in Customer Content. You grant Datafalk a worldwide, non-exclusive, royalty-free licence to host, process, analyse, reproduce and display Customer Content, and to combine it with Datafalk Data, to the extent necessary to provide, secure and improve the Services and to comply with law.

7.3 The association between your identity and your research, your history of requests and your non-public documents and information are confidential under Section 14. The public character of a company, product or material name does not make public the existence of your research on that subject. Datafalk may incorporate into its knowledge base and into Atlas the relationships, facts and sources identified in the course of performing your requests, and reuse them for the benefit of all its customers and of the public, provided that it reveals neither your identity, nor the existence or content of your requests, nor information from which they could reasonably be deduced. Your non-public documents and information are neither incorporated into the common knowledge base nor published without your written consent. A customer who wishes the results of its requests not to be incorporated into the common knowledge base subscribes to an enterprise offer providing for it.

7.4 Datafalk does not use your confidential information to train shared artificial intelligence models. The artificial intelligence providers Datafalk uses to perform requests are bound by contract not to use the data transmitted to them to train their models; their categories are listed in the Privacy Policy.

7.5 You represent that you have all rights and authorisations needed to upload Customer Content and to grant the licence above, and that Customer Content does not infringe any third-party right or applicable law. You enter into the Services only the information necessary for your requests and no special categories of personal data.

7.6 Where Customer Content uploaded under a Commercial Agreement contains personal data, Datafalk processes it on your behalf as your processor under the DPA forming part of that Commercial Agreement. Self-service accounts do not allow the upload of supplier lists, contacts or files: the parameters of self-service requests are processed as described in the Privacy Policy, and you enter only the information necessary for your requests, as provided in the Terms of Sale. Datafalk Data may contain information about natural persons drawn from public sources, such as directors or representatives; you process that information for your own purposes as a controller, in compliance with the law applicable to you.

## 8. Feedback

If you provide suggestions, ideas or other feedback about the Services, you grant Datafalk a perpetual, irrevocable, worldwide, royalty-free licence to use and exploit that feedback for any purpose without obligation or attribution. Feedback does not include Customer Content or personal data.

## 9. APIs and automated access

9.1 Access to the APIs requires API credentials issued by Datafalk. API credentials are confidential and may not be shared outside your organisation.

9.2 Datafalk sets rate limits, quotas and technical requirements for the APIs, disclosed before activation, and may suspend API credentials that exceed them or are used in breach of these Terms. Datafalk may modify or discontinue APIs with reasonable notice where feasible. Changes affecting API capacity included in a paid plan are governed by the Terms of Sale or the Commercial Agreement.

## 10. Free plans, trials, demonstrations and beta features

10.1 Datafalk may offer free plans, trials, demonstration environments (including demo.datafalk.com) and features identified as beta, preview or experimental. Such Services are provided without any commitment of availability, support, accuracy or continuity and may be modified, limited or withdrawn at any time. Features included in a paid plan remain governed by the Terms of Sale or the Commercial Agreement whatever their label.

10.2 Demonstration environments may contain sample or synthetic data that does not reflect real organisations or relationships.

## 11. Paid plans and credits

Paid plans, credits for maps and Atlas pages, subscriptions, fees, invoicing, taxes, renewals and refunds are governed by the Terms of Sale or by your Commercial Agreement. Nothing in these Terms grants any right to paid features that you have not purchased.

## 12. Intellectual property

12.1 Datafalk and its licensors retain all rights they hold in the Services, the underlying software, models, algorithms, ontologies, Datafalk Data, the Datafalk databases and their structure, selection and presentation, designs and trademarks, including copyright and, where its legal conditions are met, the right of the maker of a database (the sui generis right provided by Directive 96/9/EC and the laws implementing it) held by Datafalk Inc. or its licensors. No exclusive right is claimed in raw facts or public-domain elements taken in isolation; third-party content cited in Datafalk Data remains subject to its holders' rights. The restrictions in Sections 4 and 5 are contractual and apply whether or not a given element of Datafalk Data is protected by an intellectual property right. No right is granted to you except the limited licence in Section 4.

12.2 "Datafalk", the Datafalk logo and the names of Datafalk products are trademarks or trade names of Datafalk Inc. You may not use them without prior written permission, other than to identify Datafalk as the source of Datafalk Data as permitted in Section 4.

12.3 Datafalk respects the intellectual property of others. Notices of claimed copyright infringement must be sent in accordance with the Copyright and DMCA Policy.

## 13. Third-party services and links

The Services may interoperate with or link to third-party websites, data sources and services. Datafalk does not control and is not responsible for them. Your use of a third-party service that you choose directly is governed by that third party's terms.

## 14. Confidentiality

14.1 Confidential information means, for each party, information identified as confidential or whose confidential nature is reasonably apparent from the circumstances, including, for Datafalk, non-public features of the Services, documentation, pricing not displayed publicly and security information, and, for you, the association between your identity and your research, your history of requests, and the non-public documents and information you provide.

14.2 Each party protects the other party's confidential information with reasonable care, uses it only to perform under these Terms and the applicable contract, and discloses it only to the persons and service providers who need it and are bound by equivalent obligations. Information already lawfully known to the recipient, which becomes public without its fault, is lawfully received from a third party or is independently developed is not confidential. Disclosures required by law or by an authority are limited to what is necessary, with prior notice to the other party where permitted.

14.3 These obligations continue for five years after the end of your access to the Services and, for trade secrets, for as long as the conditions of their legal protection are met. More protective provisions of the Terms of Sale or of a Commercial Agreement prevail.

## 15. Privacy

Personal data is processed by Datafalk Inc. and Parallax 84 SAS as joint controllers, as described in the Privacy Policy, which informs you of your rights and of the single point of contact. Section 7.6 governs personal data contained in Customer Content.

## 16. Export controls and sanctions

16.1 The Services and Datafalk Data may be subject to United States export control laws, including the Export Administration Regulations, and to economic sanctions administered by the Office of Foreign Assets Control, the European Union, the United Kingdom and the United Nations.

16.2 You represent that neither you nor any Authorised User (a) is located in, organised under the laws of, or ordinarily resident in a country or territory subject to comprehensive sanctions, (b) is listed on, or owned or controlled by a person listed on, any United States, European Union, United Kingdom or United Nations sanctions or denied-party list, or (c) will export, re-export, transfer or provide access to the Services or Datafalk Data in violation of those laws. You will provide, on request, the information reasonably needed to verify these representations, including your ownership and control. Datafalk may suspend or terminate access where required to comply with sanctions or export control laws.

## 17. Disclaimers

SUBJECT TO THE EXPRESS COMMITMENTS OF THE APPLICABLE TERMS OF SALE OR COMMERCIAL AGREEMENT AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND DATAFALK DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE. DATAFALK EXPRESSLY DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, TIMELINESS, AVAILABILITY AND NON-INTERRUPTION. DATAFALK DOES NOT WARRANT THAT DATAFALK DATA IS CORRECT, CURRENT OR COMPLETE, THAT ANY RELATIONSHIP SHOWN EXISTS, THAT ALL RELATIONSHIPS HAVE BEEN IDENTIFIED, OR THAT ANY RISK, EVENT OR DISRUPTION WILL BE DETECTED OR ANTICIPATED. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES; IN THAT CASE THE ABOVE EXCLUSIONS APPLY TO THE FULLEST EXTENT PERMITTED.

## 18. Limitation of liability

18.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DATAFALK, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS AND DISTRIBUTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, NOR, WHETHER DIRECT OR INDIRECT, FOR ANY LOSS OF PROFITS, REVENUE, SAVINGS, BUSINESS, CONTRACTS, OPPORTUNITY, GOODWILL, REPUTATION OR DATA, OR FOR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE SERVICES, DATAFALK DATA OR THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

18.2 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF DATAFALK AND THE PERSONS LISTED ABOVE FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES, DATAFALK DATA OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED UNITED STATES DOLLARS (USD 100) AND (B) THE AMOUNTS YOU PAID TO DATAFALK FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. WHERE THE TERMS OF SALE OR A COMMERCIAL AGREEMENT PROVIDE A DIFFERENT LIMITATION, THAT LIMITATION APPLIES TO THE SERVICES THEY COVER. REFUNDS AND CREDIT RESTORATIONS PROVIDED FOR IN THE TERMS OF SALE ARE NOT DAMAGES AND ARE NOT COUNTED AGAINST THIS CAP.

18.3 The limitations and exclusions above do not apply in case of fraud, wilful misconduct or gross negligence on the part of Datafalk, to bodily injury, or to any liability that mandatory law prohibits limiting; they do not affect the rights of data subjects or the powers of authorities. The limitations in this Section are an essential basis of the bargain between you and Datafalk.

## 19. Indemnification

You shall defend, indemnify and hold harmless Datafalk, its affiliates, distributors and their respective directors, officers, employees and agents from and against all third-party claims, and all resulting damages, liabilities, fines to the extent permitted by law, costs and expenses (including reasonable attorneys' fees), arising out of or relating to (a) your or your Authorised Users' use of the Services or Datafalk Data in breach of these Terms or of applicable law, (b) Customer Content or any infringement of third-party rights by you, or (c) any decision or action taken by you or on your behalf on the basis of Datafalk Data, in each case except to the extent caused by Datafalk's breach. Datafalk will notify you promptly of any such claim, allow you to conduct its defence and reasonably cooperate at your expense; Datafalk may participate with counsel of its choice at its own cost. You shall not settle any claim in a manner that imposes an obligation or admission on Datafalk without its prior written consent.

## 20. Suspension and termination

20.1 Datafalk may suspend or restrict your access, in whole or in part, immediately and without liability, where it reasonably believes that you or an Authorised User have breached these Terms, that your use presents a security threat or exposes Datafalk or third parties to legal liability or harm, or where required by law or by an authority. Datafalk will, where feasible and lawful, notify you, limit the restriction to the affected Services and lift it once the cause is resolved. Suspension, termination and the financial consequences for paid Services are governed by the Terms of Sale or the Commercial Agreement.

20.2 Datafalk may terminate these Terms and your access to free Services at any time. Termination of paid Services is governed by the Terms of Sale or the Commercial Agreement.

20.3 Upon termination you must cease all use of the Services and delete all Datafalk Data in your possession, except (a) paid exports whose licence survives under the Terms of Sale or the Commercial Agreement, within the limits of that licence, and (b) copies that you are required by law to retain. Sections 5, 6, 7.3, 7.4, 8, 12, 14 and 16 to 23 survive termination.

## 21. Changes to the Services and to these Terms

21.1 Datafalk continuously develops the Services and may add, modify or discontinue features. Changes affecting paid features are governed by the Terms of Sale or the Commercial Agreement.

21.2 Datafalk may revise these Terms. Material changes will be announced by email to account holders or by notice within the Services at least fifteen days before they take effect, except where a shorter period is required by law or for security reasons. The effective date appears at the top of these Terms, and previous versions are available on request. Continued use of the Services after the effective date constitutes acceptance of the revised Terms; for self-service accounts, orders and subscriptions, the Terms of Sale govern the effect of changes on purchased rights.

## 22. Governing law and dispute resolution

22.1 Matters governed only by these Terms, including access to the Services without an account and any free service or use of Datafalk Data that is not governed by the Terms of Sale or a Commercial Agreement, are governed by the laws of the State of Delaware, United States of America, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Self-service accounts opened under the Terms of Sale remain governed by the Terms of Sale even where no payment has been made. Where the Terms of Sale or a Commercial Agreement govern your relationship with Datafalk, the governing law and dispute resolution provisions of that document apply to the whole relationship, including the matters these Terms address as a supplement.

22.2 Any action or proceeding concerning the matters referred to in the first sentence of Section 22.1 shall be brought exclusively in the state or federal courts located in the State of Delaware, and each party irrevocably submits to the personal jurisdiction and venue of those courts. Notwithstanding the foregoing, Datafalk may seek injunctive or other equitable relief to protect its intellectual property, its confidential information or the integrity of the Services in any court of competent jurisdiction.

22.3 IF A DISPUTE CONCERNING THESE TERMS IS BROUGHT BEFORE A COURT OF THE UNITED STATES OF AMERICA, EACH PARTY WAIVES, TO THE FULLEST EXTENT PERMITTED BY LAW, ANY RIGHT TO A TRIAL BY JURY, AND AGREES THAT ANY CLAIM IS BROUGHT IN ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING.

22.4 Nothing in this Section deprives you of the protection of mandatory provisions of the law of the country in which you are established, where those provisions cannot be derogated from by agreement.

## 23. General provisions

23.1 Entire agreement. These Terms and the contractual documents identified in Section 1.3, in their order of precedence, constitute the entire agreement between you and Datafalk regarding their subject matter and supersede all prior or contemporaneous understandings on that subject. Any applicable DPA prevails for its subject matter. The Privacy Policy and the Cookie Policy are informational notices and are not incorporated as contractual terms by this Section; the procedures identified in Section 1.4 retain the status stated there.

23.2 Assignment. You may not assign or transfer these Terms, by operation of law or otherwise, without Datafalk's prior written consent. Datafalk may assign these Terms to a company of its group or to a successor in connection with a merger, acquisition, reorganisation or sale of all or substantially all of its assets, provided that the assignee assumes Datafalk's obligations; you will be informed of the assignment.

23.3 Force majeure. Neither party is liable for any failure or delay caused by an event beyond its reasonable control that could not reasonably be foreseen and whose effects cannot be avoided by appropriate measures, such as natural disasters, epidemics, war, terrorism, civil unrest, labour disputes, governmental action or failures of public networks, for the duration of that event. The unavailability of a service provider or a security incident constitutes such an event only if those conditions are met. The affected party notifies the other party and mitigates the effects. Payment obligations are not excused.

23.4 Severability and waiver. If any provision is held unenforceable, it shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force. No failure or delay in exercising a right is a waiver of it.

23.5 Notices and electronic communications. Datafalk may send notices to the email address associated with your account or through the Services. You consent to receive communications from Datafalk electronically. Notices to Datafalk must be sent to legal@datafalk.com or to the postal address in Section 1, and are effective upon receipt.

23.6 Evidence. Datafalk's computer records, kept under reasonable conditions of security and integrity, are admissible as evidence of acceptances, operations and communications, unless proven otherwise.

23.7 No third-party beneficiaries. Except for the persons entitled to indemnification or limitation of liability under Sections 18 and 19, these Terms confer no rights on any third party.

23.8 Independent contractors. Nothing in these Terms creates a partnership, joint venture, agency or employment relationship between you and Datafalk.

23.9 Language. These Terms are drafted in English, which governs their interpretation; translations are provided for convenience. Where a Commercial Agreement drafted in another language governs your relationship with Datafalk, its language provision applies to the whole relationship, including these Terms as a supplement.
